Terms governing use of the One Crystal website and professional service engagements.

These Terms and Conditions govern access to and use of this website and the services provided by One Crystal Company Limited, referred to in these Terms as "One Crystal", "we", "us" or "our".

By accessing this website, contacting us for services, requesting or accepting a quotation, making a payment, providing instructions, approving work or otherwise engaging One Crystal, you agree to be bound by these Terms and Conditions.

1. About One Crystal

One Crystal Company Limited is a creative, technology and business-support company operating in Tanzania and serving individuals, entrepreneurs, companies, organisations and international clients.

Our operations are organised under three main divisions:

The actual scope of any service will be determined by the quotation, proposal, invoice, engagement letter, statement of work, project specification or other agreement applicable to that particular engagement.

2. Acceptance of These Terms

You accept these Terms when you:

  • use this website;
  • submit an enquiry or service request;
  • accept a quotation or proposal;
  • make full or partial payment;
  • give us instructions to proceed;
  • electronically approve documents or deliverables; or
  • enter into another service arrangement with One Crystal.

Electronic communications, approvals and records may be used in connection with our services in accordance with applicable Tanzanian law.

3. Website Use

You may use this website only for lawful purposes.

You must not:

  • provide false, fraudulent or misleading information;
  • impersonate another person or organisation;
  • attempt to gain unauthorised access to our website or systems;
  • interfere with website security or functionality;
  • upload malicious software;
  • use our content without permission;
  • infringe intellectual property rights;
  • use our services for unlawful activities; or
  • engage in conduct reasonably capable of harming One Crystal, its clients or third parties.

We may restrict access or refuse service where misuse, illegality, fraud or security risk is reasonably suspected.

4. Website Information

Information published on this website is provided for general information about One Crystal and its services.

Although reasonable efforts are made to keep information accurate and useful, laws, regulations, government procedures, statutory charges, administrative practices, technology and third-party services may change.

Website information therefore does not constitute:

  • a guaranteed quotation;
  • a guarantee of government approval;
  • a final legal determination;
  • a guarantee of registration;
  • a guarantee of completion within a particular period; or
  • professional advice tailored to a specific matter unless expressly stated.

Where information on the website differs from a specific quotation, agreement, proposal or written instruction relating to a client's engagement, the specific engagement document will prevail.

5. Formation of a Service Engagement

Submitting an enquiry does not automatically create a professional engagement.

An engagement generally begins after One Crystal accepts the client's instructions and any applicable requirements have been satisfied.

These may include:

  • acceptance of a quotation;
  • payment of a required fee or deposit;
  • submission of required documents;
  • completion of onboarding or verification requirements; or
  • execution of a service agreement.

We reserve the right to accept or decline any engagement.

6. Client Responsibilities

Clients must provide accurate, complete and current information necessary for the requested service.

Clients are responsible for reviewing and confirming important details before submission, publication, printing, deployment or regulatory filing.

This may include:

  • names;
  • identification details;
  • contact information;
  • addresses;
  • company details;
  • directors and shareholders;
  • beneficial owners;
  • business activities;
  • trademarks;
  • logos;
  • product or service descriptions;
  • project specifications;
  • financial information;
  • regulatory information; and
  • other relevant documents.

One Crystal may reasonably rely upon information supplied by the client.

We are not responsible for loss, rejection, penalties, delay or additional costs resulting from inaccurate, incomplete, misleading, fraudulent or late information provided by the client.

7. Regulatory and Government Services

Some One Crystal services involve applications, registrations, filings, renewals, searches, licences, approvals or other interactions with government authorities and regulatory bodies.

One Crystal may act as a consultant, facilitator, representative or service provider according to the engagement.

Final decisions remain with the responsible authority.

One Crystal therefore cannot guarantee:

  • approval of an application;
  • registration of a company or business name;
  • issuance of a licence or permit;
  • registration or grant of intellectual property;
  • acceptance of a proposed name;
  • acceptance of a regulatory filing;
  • absence of objections;
  • completion within a particular government processing period; or
  • any particular decision by a competent authority.

Our responsibility is to perform the agreed services with reasonable skill, care and diligence.

8. Intellectual Property Services

Searches, classifications, opinions or preliminary assessments involving trademarks, patents, industrial designs or other intellectual property are based on information reasonably available at the relevant time.

A search or assessment does not guarantee:

  • registration;
  • grant;
  • successful examination;
  • absence of third-party rights;
  • absence of opposition; or
  • a favourable decision from the relevant authority.

Where objections, oppositions, office actions, hearings, appeals or additional regulatory work arise, additional fees may apply unless those services were expressly included in the original engagement.

9. Creative Services

The scope of a creative project may specify:

  • concepts;
  • revisions;
  • deliverables;
  • formats;
  • production specifications; and
  • approval stages.

Requests outside the agreed scope may be treated as additional work.

Clients must ensure that photographs, logos, music, fonts, videos, text, trademarks or other materials supplied to One Crystal may lawfully be used.

One Crystal is not responsible for third-party claims arising solely from unlawful or unauthorised material supplied by the client.

Public Testimonial Submissions

Where a person submits a testimonial through the website, submission does not guarantee publication. One Crystal may verify, review, edit for length or clarity without changing the meaning, approve, decline or remove a testimonial.

Contact details supplied for verification are not intended for public display. A submitted name, role, organisation, rating, testimonial and approved photograph or company logo may be published only in accordance with the permission given by the person submitting the material.

Requests to correct or remove a published testimonial may be sent to administration@onecrystal.co.tz.

10. Technology Services

Website, software, mobile application and ICT projects may be governed by separate project specifications or agreements.

These may cover:

  • deliverables;
  • functionality;
  • milestones;
  • development phases;
  • hosting;
  • maintenance;
  • support;
  • revisions;
  • source code;
  • third-party integrations;
  • deployment; and
  • licensing.

Unless expressly included, project development does not automatically include:

  • indefinite maintenance;
  • future redesigns;
  • new functionality;
  • ongoing technical support;
  • domain renewal;
  • hosting renewal;
  • paid third-party subscriptions; or
  • future software upgrades.

Additional work may be quoted separately.

11. Quotations and Prices

A quotation remains valid for the period stated in it.

Charges may include:

  • professional fees;
  • consultation or facilitation fees;
  • government charges;
  • statutory fees;
  • taxes;
  • third-party fees;
  • domain and hosting costs;
  • printing or production costs;
  • courier costs;
  • transaction charges; and
  • other agreed expenses.

Government and third-party fees may change independently of One Crystal.

Where such charges change before they are incurred, the client may be required to pay the applicable difference.

12. Payment

Payment terms will be stated in the relevant quotation, invoice, proposal or agreement.

Depending on the service, we may require:

  • full advance payment;
  • a deposit;
  • milestone payments; or
  • final payment before delivery, submission, deployment or release.

One Crystal may suspend work where payment is overdue.

Unless agreed otherwise, the client is responsible for transaction costs such as bank charges, international-transfer charges or currency-conversion fees.

13. Client Approval

Where One Crystal sends documents, forms, applications, designs, specifications or other material for approval, the client is responsible for reviewing them carefully.

Approval through email, electronic communication, electronic signature or another agreed digital method may be treated as valid authority to proceed.

Once a client approves a document or deliverable, any later correction caused by information previously confirmed by the client may constitute additional work.

14. Intellectual Property Rights

Unless otherwise agreed, One Crystal retains rights in its own:

  • name and trademarks;
  • branding;
  • website;
  • templates;
  • methodologies;
  • reusable code;
  • frameworks;
  • development tools;
  • libraries;
  • internal systems;
  • know-how; and
  • pre-existing materials.

Ownership or licensing of work specifically commissioned by a client will be determined by the applicable agreement.

Third-party resources remain subject to their respective licences.

15. Confidentiality

One Crystal will take reasonable measures to protect confidential information supplied by clients.

Information may nevertheless be disclosed where:

  • the client authorises disclosure;
  • disclosure is necessary to provide the agreed service;
  • information must be submitted to an authority;
  • disclosure is required by law;
  • disclosure is required by a lawful court or regulatory order; or
  • disclosure to a professional adviser or service provider is reasonably necessary.

16. Personal Data

Personal data is handled in accordance with our Privacy Policy and applicable laws governing privacy and personal data protection.

17. Third-Party Services

Our services may involve third-party systems or providers, including:

  • government portals;
  • registries;
  • banks;
  • payment providers;
  • hosting providers;
  • domain registrars;
  • cloud providers;
  • software providers;
  • couriers;
  • printers; or
  • professional service providers.

One Crystal is not responsible for failure or interruption occurring entirely within systems outside our reasonable control.

18. Limitation of Liability

To the extent permitted by applicable law, One Crystal will not be liable for indirect or consequential loss caused by matters outside our reasonable control.

This includes, where applicable:

  • government decisions;
  • regulatory delays;
  • third-party system failures;
  • internet or telecommunications interruption;
  • inaccurate information supplied by a client;
  • unauthorised third-party conduct; or
  • circumstances of force majeure.

Nothing in these Terms excludes or limits any liability or legal right that may not lawfully be excluded.

19. Suspension or Termination

One Crystal may suspend or terminate an engagement where:

  • payment is overdue;
  • necessary information is not supplied;
  • unlawful conduct is suspected;
  • fraudulent information is provided;
  • the client materially breaches the engagement;
  • continuing the engagement could violate applicable law; or
  • performance becomes reasonably impracticable.

Fees for completed work and costs already incurred remain payable.

20. Force Majeure

One Crystal will not be responsible for delay or failure caused by circumstances reasonably beyond its control.

Such circumstances may include natural disasters, government action, system failure, power interruption, telecommunications failure, cyber incidents, civil disturbance, regulatory interruption or comparable events.

21. Governing Law

These Terms are governed by the applicable laws of the United Republic of Tanzania.

22. Dispute Resolution

Where a dispute arises, the parties should first make reasonable efforts to resolve it through good-faith discussion.

Where an amicable resolution cannot be reached, either party may exercise any remedy available under applicable law or under a separate agreement governing the relevant service.

23. Changes to These Terms

One Crystal may revise these Terms from time to time to reflect changes in its operations, services, technology or legal obligations.

The version published on this website will constitute the current Terms.
